In some states, this is the name of the document you file to form the entity (Texas uses "Certificate of Formation" for both LLCs and corporations). In other states, it is the document returned to you after the state approves your Articles of Organization or Articles of Incorporation. The terminology varies by state, but the function is the same — it is the legal proof that your business entity exists.
