What is Articles of Organization?

Definition

Articles of Organization is the legal document filed with the Secretary of State to formally create an LLC. It typically includes the LLC's name, principal office address, registered agent name and address, management structure (member-managed or manager-managed), and the organizer's name. Some states call this document a Certificate of Formation or Certificate of Organization. Filing this document and paying the associated state fee is what officially brings the LLC into existence.
