5 States Where the Most LLCs Are Formed (And Why)

If you are buying business formation leads, the state you choose matters enormously. Volume, data accessibility, lead quality, and competition all vary by state. Here are the five highest-volume states for LLC formation and what makes each one unique for lead buyers.

1. Florida — ~1,000 Formations Per Day

Florida is the top state for new LLC formations by daily volume. The combination of zero personal income tax, a booming real estate market, year-round tourism, and a massive wave of relocations from high-tax northeastern states has created an environment where new businesses launch at an extraordinary rate.

This makes Florida the easiest state to access formation data at scale. The lead quality is strong — Florida LLCs span every industry from construction and hospitality to e-commerce and professional services.

2. Texas — ~800 Formations Per Day

Texas is the second-highest volume state, driven by no personal income tax, a diversified economy (energy, tech, healthcare, construction), and rapid population growth in Houston, Dallas-Fort Worth, Austin, and San Antonio. Texas formation data includes organizer information, which is valuable for direct outreach.

The Texas Secretary of State provides an online search but no official bulk data export, making automated data collection more involved than Florida. However, the quality and volume of Texas leads make the effort worthwhile. Commercial insurance leads are particularly strong in Texas because the state's construction and energy sectors require extensive coverage.

3. California — ~700 Formations Per Day

California produces roughly 700 new formations daily despite its reputation for high taxes and regulatory burden. The state's economy is simply too large and too innovative to suppress entrepreneurial activity. Tech startups, creative agencies, cannabis businesses, and consulting firms drive steady formation volume.

It provides a public API with filtering capabilities, making automated access relatively straightforward. Delaware's formation volume is disproportionate to its population (under 1 million residents) because of the state's business-friendly legal framework. The Court of Chancery provides specialized business dispute resolution, franchise tax is reasonable for small entities, and LLC privacy protections are strong — member and manager names are not required in the formation filing.

This privacy feature is a double-edged sword for lead buyers. Delaware formation data contains less contactable information than other states. Many Delaware LLCs are formed by out-of-state businesses or holding companies, not local operating businesses. Registered agent leads are particularly valuable here because virtually every Delaware LLC needs one.

Choosing Your State

If you are just starting with formation leads, start with the state where you operate or where your target clients are concentrated. Florida and Texas offer the best combination of volume, data accessibility, and lead quality. California and New York have higher per-lead value but present data access challenges. Delaware is specialized — excellent for registered agent firms, less ideal for insurance agents or CPAs targeting local businesses.
